Session One-Key Employment Law Issues, led by Sterling LeBoeuf: Sterling will cover the pay equity laws that recently went into effect in Colorado as well as various COVID return-to-work considerations.

Session Two-Fiduciary Duties and Governing Documents, led by Rachel James: Rachel will provide a discussion of fiduciary duties how they can be addressed in exempt organization governing documents

About our presenters:

Peter Schwartz (moderator) is a partner in the Finance & Acquisitions Department of Davis Graham & Stubbs LLP. Mr. Schwartz’s principal areas of practice include: corporate finance; public and private securities offerings; merger and acquisition transactions for public and private companies; and private equity and other alternative asset fund formation, mutual funds, and investment advisers. He also counsels traditional for-profit, public benefit, and nonprofit clients on compliance and disclosure issues, as well as on general corporate and governance issues.

Sterling LeBoeuf
 is a partner in the Trial Department of Davis Graham & Stubbs LLP. His practice focuses on labor and employment counseling and litigation. Mr. LeBoeuf advises clients on the full range of labor and employment issues. He litigates cases involving non-competition agreements and other restrictive covenants, trade secret misappropriation, wage and hour laws, and discrimination and harassment. Mr. LeBoeuf also has significant experience handling a variety of commercial litigation matters, including contract, fraud, insurance coverage, and products liability disputes. He is experienced in all phases of civil litigation, from pre-suit investigation through trial and appeal. 

Rachel James is a partner in the Taxation and Employee Benefits Groups of Davis Graham & Stubbs LLP.
Her primary areas of expertise are tax-exempt organizations and employee benefits.  Ms. James advises exempt organizations as well as individuals and companies interested in creating and contributing to exempt organizations. In addition to representing exempt organizations in front of the IRS in audits and private letter rulings, she has provided advice to such entities regarding complex structuring issues.  Her focus in these structuring projects is to maximize the flexibility of the involved nonprofit organizations, while minimizing their exposure to liability.
